1. Introduction

These Terms of Service ("Terms") govern your use of the IntelliDent analytics platform and website at intellident.uk (the "Service"), operated by Dentalytics Limited (Company No. 16117212), trading as IntelliDent ("we", "us", "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Service Description

IntelliDent is a business-to-business (B2B) software-as-a-service (SaaS) analytics platform designed for dental practices. The Service connects to third-party platforms (including Dentally, Xero, Google Business Profile, and LinkedIn) to aggregate, analyse, and present operational, financial, and marketing data through unified dashboards and reports.

The Service is intended for use by dental practice owners, operations directors, and authorised personnel of dental practices and dental groups.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be authorised to act on behalf of the dental practice or organisation you represent
  • Notify us immediately of any unauthorised use of your account

You are responsible for all activity that occurs under your account.

4. User Responsibilities

As a user of the Service, you agree to:

  • Maintain valid API credentials and authorisations for any third-party services you connect to IntelliDent
  • Ensure that you have the necessary rights and permissions to share data from connected third-party services with IntelliDent
  • Comply with the terms of service of any third-party platforms you connect (Dentally, Xero, Google, LinkedIn)
  • Not use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Not attempt to reverse-engineer, decompile, or disassemble the Service
  • Not share your account access with unauthorised individuals
  • Take responsibility for the accuracy and legality of data you provide or connect

5. Data Ownership

Your data remains yours. You retain all rights, title, and interest in the data you provide or connect to our Service. By using IntelliDent, you grant us a limited licence to access, process, and display your data solely for the purpose of providing the Service to you.

We do not claim ownership of your data. We will not sell, share, or use your data for purposes other than providing and improving the Service, except as described in our Privacy Policy or with your explicit consent.

Upon termination of your account, you may request export or deletion of your data. We will comply within 90 days.

6. Intellectual Property

The Service, including its design, features, software, and content (excluding your data), is the intellectual property of IntelliDent and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with reasonable advance notice where possible)
  • Unplanned outages or technical issues
  • Circumstances beyond our reasonable control
  • Changes or outages in third-party services we integrate with

8. Fees and Payment

Details of pricing and payment terms will be communicated separately and agreed upon before you are charged for the Service. We reserve the right to modify our pricing with 30 days' written notice.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service
  • Our total liability for any claim relating to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
  • We are not liable for decisions made based on data or insights provided by the Service. The Service provides analytical tools and visualisations; it does not provide financial, legal, or clinical advice
  • We are not responsible for the accuracy, completeness, or reliability of data obtained from third-party integrations (Dentally, Xero, Google, LinkedIn)

10. Indemnification

You agree to indemnify and hold harmless IntelliDent and its directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

11. Termination

Either party may terminate this agreement at any time by providing written notice. Upon termination:

  • Your access to the Service will be revoked
  • You may request export of your data within 30 days of termination
  • We will delete your data within 90 days of termination, unless retention is required by law
  • Outstanding fees for services already rendered remain payable

We reserve the right to suspend or terminate your access immediately if you breach these Terms or use the Service in a manner that may cause harm to us or other users.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, providing notice via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
